1. Parties and program
This agreement is between Paschal Math Clinic ("PMC," "we," "us") and the parent or legal guardian named in the signature block ("you"), for the enrollment of the student(s) listed at intake in PMC's human-led, small-group online mathematics tutoring program for the school year identified in your enrollment summary and fee schedule.
PMC is an online tutoring service. Students share a level and a group session while each follows an individual learning path. Enrollment is for one school year, which runs from September to June; registration for a school year opens on August 1 so that families may enroll ahead of it. Enrollment does not renew automatically: to continue in a following year you affirmatively re-enroll and pay for that year.
PMC never receives or stores your card or bank details. Those are held by our payment provider on their own secure pages, and PMC keeps only a reference and the status of a payment. Nothing is charged to you automatically unless you choose automatic collection of your tuition instalments, which you set up yourself and can stop at any time from your portal; if you do not choose it, every payment is one you make.
2. Enrollment, placement, and student identity
Enrollment follows a consultation. Placement into a level or program, any declaration of mastery, changes to a student's official learning plan, and consequential assigned work are decided only by Paschal or an authorized tutor — never automatically by any software, practice result, or AI. Any AI feature may only draft; a human approves.
Each student is issued a durable Student ID (for example, PMC-048213). The student signs in with that Student ID and a password — PMC does not require a personal email address for a student. You are responsible for keeping account credentials confidential and for supervising a younger child's use of the portal.
3. Tuition and fees
Annual tuition and a separate annual registration fee apply to each enrolled student. The current amounts, the available payment options (for example, in full, or in half-year, quarterly, monthly, or biweekly installments), and the per-student registration fee are set out in the fee schedule at the end of this agreement and in the enrollment summary presented to you at enrollment, both of which are incorporated into this agreement. Tuition includes personalization, portal access, the PMC Classroom, PMC Practice, learning charts, progress reporting, and approved between-session support — never sold as premium add-ons or tiers. The registration fee is charged in addition to tuition, per student, and is not a premium feature tier.
PMC may change its rates from time to time. A change takes effect prospectively and does not change the amount for a school year for which you have already enrolled and paid. ACH bank transfer is the preferred payment method. Payments are made through a provider-hosted checkout; PMC stores only a payment provider's token and the transaction status, never your card or bank-account numbers, and adds no surcharge for choosing a particular payment method.
4. Payment terms and non-payment
Installment due dates are set out in your payment schedule. You are responsible for making payments on time regardless of a student's attendance in any given week.
If payment is not made by its due date, PMC may pause portal access and paid services until the balance is settled. Payment matters and learning records are kept in separate systems; a payment pause does not delete a student's learning history.
If PMC must pursue collection of past-due amounts, you are responsible for the reasonable costs of collection to the extent permitted by law.
5. Withdrawal, refunds, and mid-year enrollment
Enrollment is open year round: a student may begin in any month of the school year, and there is no minimum number of months. Whole months of attendance are charged at the monthly rate in the fee schedule.
A student who begins in September, the opening month of the school year, pays the full annual tuition whatever day of the month they enroll, because they are starting at the beginning of the year rather than joining one already running.
A student who joins after the school year has begun is charged for their joining month by the week they start in, so that a family pays for what the month actually contains. Starting on the 1st to the 7th, that month is charged in full; the 8th to the 14th, three quarters; the 15th to the 21st, one half; and from the 22nd, that month is not charged at all and tuition begins on the first of the following month.
The month a student leaves is charged on the same scale, reflected: leaving between the 1st and the 7th, that month is not charged; the 8th to the 14th, one quarter; the 15th to the 21st, one half; and from the 22nd, the month is charged in full. A joining month and a leaving month therefore always add up to one month of tuition, never more.
To withdraw, give written notice at least 30 calendar days before the intended last day. Tuition runs to the end of the month in which those 30 days expire, so a withdrawal normally takes effect at the end of a month. Where PMC agrees to an earlier last day, the final month is charged on the scale above.
The annual registration fee is not pro-rated and is not refundable once the school-year account has been provisioned. The specific amounts are those in the fee schedule in effect at enrollment.
6. Schedule, holidays, and cancellations
PMC delivers a set number of live sessions across the school year on a published schedule. PMC observes major public holidays, on which sessions are not held. These holiday breaks are already accounted for in the annual tuition, so no tuition reduction or credit applies for them.
Because sessions are online, PMC may cancel, shorten, or reschedule a session when there are warnings of severe weather, hazardous travel or traffic conditions, provider illness, or technology, internet, or utility outages, or for other reasons affecting safety or delivery. Where it is safe and practical, sessions will proceed online rather than being canceled.
Occasional cancellations do not reduce the annual tuition. When a session is canceled, PMC will make reasonable efforts to reschedule it, provide asynchronous materials, or otherwise deliver the planned learning across the school year.
7. Privacy and data protection
PMC collects the minimum information needed to enroll and teach. We do not ask for a school-portal password, a school student ID, a teacher's name, a class schedule, unrelated grades, disability documentation, or information about other children.
A student's date of birth is collected to confirm age and eligibility and is kept access-controlled; it is never sent to any AI service. PMC does not use any student's image, voice, face, name, or personal story in marketing or in its teaching-resource libraries. Payment, learning, and marketing information are kept in separate contexts.
8. The Learning Companion (AI) — off by default
PMC's optional Learning Companion is turned OFF by default. It is not enabled by signing this agreement. Before any student may use it, PMC requires separate, verified parental consent together with tutor approval and PMC's own release controls.
When it is used, a request to the AI may include only a grade band, program, tutor-approved goals, approved de-identified teaching moves, and math-only text. It never receives a student's name, email, school, exact age or date of birth, address, family details, image, voice, private notes, or session recordings. The Learning Companion offers one next step at a time and never completes assessed work.
9. Communication and messaging
PMC communicates through the portal. Group threads are announcement-only (the tutor posts; students read). Each student has one standing one-to-one thread that the tutor opens and the student may reply within; students cannot start new threads and there is no student-to-student messaging. Messages are visible to the linked parent, are retained for safeguarding, and are never sent to any AI service.
You agree to keep an active email address and phone number on file so PMC can reach you about your student.
10. Conduct and academic integrity
Students and families are expected to treat tutors, staff, and other students with respect during online sessions and in the portal. PMC supports learning rather than completing graded schoolwork for a student; any assistant feature is limited to explaining, hinting, checking work, and practice, and never produces answers to assessed work.
PMC may pause or end enrollment for repeated conduct that disrupts learning or safety, or for repeated failure to meet the terms of this agreement, after reasonable notice.
11. Non-discrimination and inclusion
PMC welcomes all students regardless of race, color, sex, national origin, immigration status, religion, language, or disability, and makes reasonable adjustments so that each enrolled student can take part.
12. No guarantee of outcomes; disclaimer of warranties
PMC provides tutoring and test-preparation support. PMC does not guarantee any particular grade, test score, class placement, admission, or other academic result. Test preparation does not promise score increases and does not provide access to real, secure, or live test questions.
The services are provided on a reasonable-efforts basis. To the fullest extent permitted by law, PMC disclaims implied warranties of merchantability and fitness for a particular purpose.
13. Limitation of liability
To the fullest extent permitted by law, PMC's total liability arising out of or relating to this agreement or the services is limited to the amount of tuition and fees you actually paid PMC for the school year in which the claim arose. PMC is not liable for indirect, incidental, special, or consequential damages, including lost opportunities or academic outcomes.
Nothing in this agreement excludes or limits any liability that cannot lawfully be excluded or limited.
14. Third-party platforms and technology
Live sessions use third-party video-conferencing and internet services, and require a suitable device and connection that you provide and maintain. PMC is not responsible for interruptions, failures, security incidents, or the practices of third-party platforms, though PMC will make reasonable efforts to maintain continuity.
15. Assumption of responsibility and indemnification
You are responsible for supervising your student's participation and for the conduct and equipment used in your home learning environment. To the extent permitted by law, you agree to hold PMC harmless from claims arising out of your or your student's breach of this agreement or misuse of the services, except to the extent caused by PMC's own negligence or misconduct.
16. Force majeure
PMC is not liable for any delay or failure to provide services caused by events beyond its reasonable control, including severe weather, natural disasters, public-health emergencies, utility or internet outages, or government actions. PMC will make reasonable efforts to resume services or provide alternatives.
17. Governing law and dispute resolution
This agreement is governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. You and PMC will first try in good faith to resolve any dispute informally by contacting the other party in writing. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Maryland, and you and PMC consent to the personal jurisdiction of those courts.
18. Amendment
PMC reserves the right to amend this agreement and its policies. Non-material updates take effect when posted. PMC will give reasonable notice of a material change; your continued enrollment after a material change's effective date constitutes acceptance, and if you do not accept a material change you may withdraw under the withdrawal terms above. Each version of the agreement carries a version identifier so that a signed record is attributable to the exact text signed. Where parents share joint legal custody, both parents may be required to sign.
19. Entire agreement, severability, and waiver
This agreement, together with PMC's privacy notice and posted policies, is the entire agreement between you and PMC regarding enrollment and supersedes prior discussions. If any provision is found unenforceable, a court may limit or modify it to the minimum extent needed to make it enforceable; otherwise that provision is severed and the remaining provisions stay in full effect. PMC's failure to enforce a provision is not a waiver of it.
20. Acknowledgement and electronic signature
By typing your name below and submitting, you certify that you are the parent or legal guardian of the student(s) listed at intake, that you have read, understood, and agree to this agreement and PMC's privacy notice, and that you consent to sign and to receive related records electronically under the federal E-SIGN Act and the Maryland Uniform Electronic Transactions Act.
You may request a paper copy of this agreement, and you may withdraw consent to receive future records electronically, by contacting PMC; doing so does not affect the validity of this signed agreement. Your typed name, the date and time, and a copy of this agreement are retained as the record of your signature.
